1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website fuxionstudio.com (the "Site") and all services provided by Fuxion Studio LLC ("Fuxion Studio," "we," "us," or "our"), a limited liability company organized under the laws of the State of Florida, United States, with principal operations in Miami, Florida.

By accessing the Site or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Services

Fuxion Studio provides creative agency and strategic consultancy services, including but not limited to:

• Fuxion Authority: Press placements, digital recognition, Google Knowledge Panel optimization, celebrity endorsements, social media growth, engagement services, account recovery, username claims, shadowban removal, and creator monetization
• Web Development: Custom website design, web application development, and digital infrastructure (operated via development.fuxionstudio.com)
• Fuxion Talent: Talent management, influencer connections, and creative collaboration network (operated via talents.fuxionstudio.com)

Specific service deliverables, timelines, and pricing are agreed upon on a per-project or per-service basis. Services are subject to availability and may change without prior notice.

3. Client Responsibilities

By engaging our services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to communications in a timely manner
• Grant necessary access to accounts, platforms, or systems as required
• Ensure all materials provided to us do not infringe upon any third-party rights
• Comply with all applicable laws and regulations

4. Payment Terms

All fees are quoted in United States Dollars (USD) unless otherwise specified. Payment terms are as follows:

• Payment is due upon agreement or as outlined in the specific service proposal
• Certain services may require full prepayment before work commences
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• All payments are non-refundable once work has commenced, unless otherwise stated in a separate written agreement

We reserve the right to suspend or terminate services for non-payment.

5. Intellectual Property

Unless otherwise agreed in writing:

• All intellectual property created by Fuxion Studio in the course of providing services remains our property until full payment is received
• Upon full payment, the Client receives a non-exclusive, non-transferable license to use the deliverables for their intended purpose
• Fuxion Studio retains the right to display and reference completed projects in portfolios, case studies, and marketing materials
• Pre-existing intellectual property, frameworks, and tools used in service delivery remain the property of Fuxion Studio

6. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of business. This includes but is not limited to business strategies, client lists, pricing, and technical processes. Confidentiality obligations survive the termination of services.

7. Disclaimers and Limitation of Liability

7.1 Service Disclaimers

While we strive to deliver optimal results, Fuxion Studio cannot guarantee specific outcomes for services that depend on third-party platforms, algorithms, or editorial decisions. This includes but is not limited to:

• Social media growth rates, engagement levels, or algorithmic performance
• Specific publication dates or editorial placement guarantees
• Platform-specific decisions regarding account recovery, verification, or content moderation
• Search engine rankings or knowledge panel display timelines

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FUXION STUDIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) OUR SERVICES.

Our total liability for any claim arising from or related to these Terms or our services shall not exceed the total amount paid by you to Fuxion Studio in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Fuxion Studio LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your use of our services, or any materials you provide to us.

9. Termination

Either party may terminate the service relationship at any time with written notice. Upon termination:

• All outstanding fees become immediately due and payable
• Work completed up to the termination date will be delivered as-is
• Fuxion Studio retains the right to compensation for work performed
• Confidentiality obligations remain in effect

We reserve the right to terminate services immediately if you breach these Terms, engage in unlawful activity, or provide false information.

10. Third-Party Platforms

Many of our services involve interaction with third-party platforms (Instagram, TikTok, X/Twitter, YouTube, Google, Snapchat, LinkedIn, etc.). Fuxion Studio is not affiliated with, endorsed by, or sponsored by any of these platforms. We are not responsible for changes in platform policies, algorithms, terms of service, or availability that may affect service delivery.

Clients are responsible for ensuring their own compliance with the terms of service of all third-party platforms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association (AAA).

Each party shall bear its own costs and attorneys' fees in any dispute resolution proceeding, unless otherwise awarded by the arbitrator.

12. Force Majeure

Fuxion Studio shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government actions, platform outages, internet failures, or power interruptions.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and Fuxion Studio regarding the use of our Site and services. These Terms supersede any prior agreements or understandings, whether written or oral.

15. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site or services after any modifications constitutes acceptance of the revised Terms.
